UNITY 2022 EVENT SWEEPSTAKES (“Sweepstakes”)

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER, PLAY OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

SPONSOR: This Sweepstakes is sponsored by Unity Technologies APS (“Sponsor”), a Danish corporation having its principal place of business at Niels Hemmingsens Gade 24, DK-1153, Copenhagen, Denmark, on behalf of itself and its Affiliates. Technologies ApS.
GENERAL: The Sweepstake is subject to these Official Rules and all applicable International, Federal, State and Local laws. Entry into this Sweepstake constitutes your acceptance of these Official Rules. Limit ONE (1) entry per person during the Sweepstake. A total of THREE (3) winners will be selected.
TIMING: The entry period for the Sweepstakes begins OCTOBER 14, 2022 and ends November 2, 2022 at 11:59 pm PT (“Entry Period”). All times appearing in these Official Rules are Pacific Time (PT). As described in more detail in Section 5 below, Sponsor will conduct a series of drawings to randomly select a total of THREE (3) potential winners from among all eligible Entries originating from the entry methods listed under §5. Such drawings may in Sponsor’s discretion be conducted both during and immediately after the Entry Period.
ELIGIBILITY: To be eligible to enter the Sweepstakes, as of the time you submit your Entry, you must:
1. Be a legal residents worldwide excluding residents of: Florida, USA; New York, USA; Canada; Italy; India; Spain; Puerto Rico Sweden; Mexico; Australia; France; Ireland; Netherlands; Russia; Taiwan; Brazil; Argentina; Poland; Norway; or any other region subject to comprehensive embargoes, including but not limited to: Cuba; Sudan; North Korea; Syria; select regions of Ukraine (specifically Crimea, Donetsk, and Luhansk), any other prohibited or sanctioned party list issued by the US Treasury or Commerce departments or any other government authority, or where prohibited by law.
2. Be eighteen (18) years of age or older (or have reached the age of majority in your legal place of residence)
3. Individuals employed by Sponsor, its affiliated companies (“Affiliates” shall mean an entity that directly or indirectly controls, is controlled by or is under common control with Unity), subsidiaries, Sponsor’s business partners, or advertising and promotion agencies (collectively “Sweepstake Parties”) at any time during the Entry Period or, if a winner, as of the date of prize fulfillment, and members of their immediate family (parent, child, sibling or spouse of any of the foregoing) or persons living in the same household (those living in the same household for at least 3 of 12 months preceding the Entry Period), are not eligible.
HOW TO ENTER: Subject to the Eligibility restrictions above, UNITE AND UNITY FOR HUMANITY ATTENDEES must register to enter the UNITY 2022 EVENT SWEEPSTAKES. QR codes will be the promotion method for all Entrants, both virtually and in-person.

All Entrants are limited to one (1) Entry regardless of method of entry.

Each Entrant must comply with these Official Rules. Each Entrant also agrees that Sponsor may disqualify the Entrant from the Sweepstake if Sponsor believes, in its sole and absolute discretion, that the Entrant failed to comply with these Official Rules. Entries may only be made according to the method described above. Only eligible Entries received by the Sponsor before the end of the Entry Period will be included in prize drawings.
HOW TO WIN
1. SELECTION OF WINNERS: During the Entry Period and immediately thereafter, Sponsor will conduct a series drawing to randomly select a total of THREE (3) potential winners from among all eligible Entries originating under the entry methods specified in §5 during the Entry Period. The date and time of each drawing will be determined by Sponsor in its sole discretion. With respect to each drawing occurring during the Entry Period, winners will be selected from among all eligible Entries received during the Entry Period prior to the drawing (excluding Entries previously selected as potential winners). With respect to each drawing occurring after the Entry Period, winners will be selected from among all eligible Entries received during the Entry Period (excluding Entries previously selected as potential winners).
2. NOTIFICATION OF WINNING: Winners will be contacted via txt or email in accordance with the registration information provided to Sponsor. Sponsor may, at its sole discretion, disqualify entrants with insufficient or incomplete registration information for contact purposes. If a Winner cannot be contacted, is contacted and does not respond as directed within seven (7) days of attempted notification, refuses the prize or is ineligible to accept the prize, prize may be forfeited and awarded to an alternate winner. All prizes claimed in accordance with the Official Rules will be awarded. The prizes will be awarded to the Winners within a commercially reasonable time frame. Receipt and use of the prizes may require a personal computer, email, and the internet. All prizes are non-transferable, subject to any and all applicable taxes, and no substitutions of the prizes for cash or other goods and services are permitted by the Winners. Notwithstanding the foregoing, Sponsor reserves the right to provide a substitute prize of approximately equal value for any reason. Potential winners may be asked to verify eligibility. The 72-hour deadline to reply and claim a prize begins the moment Unity sends the potential winner a winner notification message. Failure to respond within seventy-two (72) hours of potential winner notification message being sent by Unity may result in disqualification, forfeiture of prize and an alternate potential winner may be selected.
3. PRIZES: The THREE (3) total winners will each randomly receive one of the following prize(s):
  1. TWO (2) winners will each receive: one (1) Unity Pro License (one year term)
  2. ONE (1) winner will receive: one (1) iiRcade console
  Each potential winner will receive one (1) randomly selected prize within ten (10) business days of the conclusion of the Entry Period. If the individual fails to respond the individual will be disqualified, Sponsor will choose another potential winner and disqualified individual’s prize will be forfeited. The total ARV (Approximate Retail Value) of all available prizes is $5079.00 USD.
  
  Only prizes specified in the amount indicated will be awarded. Prizes are non-transferable, with no cash redemption or equivalent. Sponsor reserves the right to substitute a prize or prize component of equal or greater value should a prize or any component of a prize become unavailable. Except as specifically provided herein, all applicable taxes and usage charges on prizes are the sole responsibility of the winner.
  
  All federal, state, local and or other applicable taxes, licenses, title and/or registration fees or others costs, associated with winning a prize are the sole responsibility of the Winners. The Sponsor and its affiliates, subsidiaries and advertising and promotion agencies, and each of their directors, officers, employees, agents and assigns, shall not be responsible for any such taxes, fees and costs. Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of prizes awarded. Sponsor makes no representation of, and explicitly disclaims all warranties concerning the appearance, safety, fitness for intended purpose, or performance of any prize awarded.
4. WINNER ELIGIBILITY REQUIREMENTS: Potential winners must meet the eligibility requirements set forth in these Official Rules to qualify for a prize. If a potential winner is found to be ineligible; is not in compliance with these Official Rules; declines to accept the prize; does not comply with Sponsor’s instructions; or the prize is returned as undeliverable, the prize may be forfeited in Sponsor’s sole discretion. If a prize is forfeited, then the prize may be awarded to an alternate winner, selected in a random drawing from among all remaining eligible entries received during the Entry Period, as determined by Sponsor in its sole discretion. Sponsor shall not be held responsible for any delays in awarding the prize for any reason. Each prize will only be awarded to a verified winner. Any unclaimed prizes will be awarded in a random drawing to be held as necessary. Winners may be required to complete and sign a Non-Disclosure Agreement, an Affidavit of Eligibility and, except where prohibited, Liability/Publicity Release, in the form provided by Sponsor, within seven calendar (7) days of attempted notification in order to claim prizes.
LIMITATIONS ON WINNING: In addition to the one (1) prize per Entrant limit with respect to this Sweepstakes, there is a one (1) prize per Entrant limit across all Unity sweepstake promotions conducted during the January 1, 2022 to December 31, 2022 calendar year. Note: You are not a winner of any prize until you have been verified as a winner by the Sponsor.
ODDS OF WINNING: The odds of winning with respect to each prize drawing depend upon the number of eligible entries received during the Entry Period as of the time of such drawing.
RIGHT OF PUBLICITY RELEASE: Except where prohibited by law, participation in the Sweepstake constitutes each Entrant’s consent to Sponsor’s and its agents’ use of Entrant’s name, likeness, photograph, voice, opinions and/or hometown, and statements made by or attributed to them, in perpetuity, in any and all media now known or hereafter developed (including, without limitation, print, broadcast and Internet), for all legitimate business purposes including advertising and promotional activities without additional compensation, further payment, and/or consideration.
MISCELLANEOUS CONDITIONS: All Entries become the property of Sponsor and will not be returned. By participating, Entrants agree to abide by and be bound by these Official Rules, which shall be final and binding with respect to all issues relating to this Sweepstake. It is the Entrant’s responsibility to ensure compliance with all of the conditions contained in these Official Rules. Sponsor is not responsible for any lost, late, misdirected, stolen, illegible, incomplete entries, or for any computer, online, telephone or technical malfunctions that may occur. Sweepstake Parties are not responsible for any incorrect or inaccurate information, whether caused by Website users, any of the equipment or programming associated with or utilized in the Sweepstake, or any technical or human error, which may occur in the processing of submissions in the Sweepstake. Sweepstake Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sweepstake Parties are not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing. Sweepstake Parties are not responsible for any injury or damage to participants or to any computer related to or resulting from participating or downloading materials in this Sweepstake. Persons found tampering with or abusing any aspect of this Sweepstake, or whom Sponsor believes to be causing malfunction, error, disruption or damage will be disqualified. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKE MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to correct any typographical, printing, computer programming or operator errors.

If for any reason, the Sweepstake is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, natural disasters, war or other associated conflicts, fraud, technical failures, or any other causes beyond the control of the Sweepstake Parties which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstake, Sponsor reserves the right to cancel, modify, or suspend the Sweepstake or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserves the right to select winners in a random drawing from among all eligible, non-suspect entries received prior to the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted on the Website and/or Sponsor’s website at Sponsor’s discretion. Sponsor may prohibit any Entrant or potential entrant from participating in the Sweepstake, if such Entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other Entrant, Sponsor, or Sponsor’s agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Sponsor reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Sweepstake.

By participating in this Sweepstake, each Entrant agrees to release and hold harmless Sweepstake Parties and each of their respective parent companies, affiliates, subsidiaries, officers, directors, representatives, agents and employees, from any and all liability whatsoever for any injuries, losses or damages of any kind arising from or in connection with, either directly or indirectly from: 1) the awarding, acceptance, receipt, possession, use and/or misuse of any prize awarded herein; or 2) participation in the Sweepstake or any prize related activities.

1. Information submitted in connection with the Sweepstakes in accordance with these Official Rules and Conditions and Sponsor’s Privacy Policy located at https://unity3d.com/legal/privacy-policy.
2. By entering this Sweepstakes, you agree that your personal information may be collected, used, by Sponsor and its affiliates, subsidiaries and advertising and promotion agencies, and each of their directors, officers, employees, agents and assigns, for the sole purpose of conducting, administering, and fulfilling the Sweepstakes, including, without limitation notifying you if you are chosen as a potential Winner and for prize delivery.
3. If allowed under applicable law, you may exercise their right to access and modify the personal information about them stored by Sponsor by writing to privacy@unity3d.com, and detailing their request.
GOVERNING LAW: Except where prohibited by law, this Sweepstakes and your entry will be governed by and construed in accordance with the laws of the State of California excluding that body of law known as conflict of laws. The parties expressly agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in the Northern District of California and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
ARBITRATION: By participating in this Sweepstakes, each Participant agrees that: (1) any claim, dispute or controversy (whether in contract, tort or otherwise) Participant may have against any of the Sweepstakes Entities arising out of, relating to or connected in any way with the Sweepstakes, the awarding or redemption of the prize or the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator pursuant to JAMS’s Comprehensive Arbitration Rules and Procedures (“Rules and Procedures”); (2) this arbitration agreement is made pursuant to a transaction involving interstate commerce and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (3) the arbitration shall be held at a location determined by JAMS pursuant to the Rules and Procedures (provided such location is reasonably convenient for Participant) or at such other location as may be mutually agreed to by the Participant and Sponsor; (4) the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the Participant may have entered into in connection with the Sweepstakes; (5) the arbitrator shall apply Illinois law consistent with the FAA and applicable statutes of limitations and shall honor claims of privilege recognized at law; (6) there shall be no authority for any claims to be arbitrated on a class or representative basis as Participant and Sponsor hereby waive the right to assert claims in any class or representative action; arbitration can thus decide only the Participant’s and/or Sponsor’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (7) in the event that the administrative fees, arbitrator fees and filing fees associated with the arbitration exceed $250, Sponsor agrees to pay any such administrative, arbitrator and filing fees exceeding $250 on the Participant’s behalf, subject to ultimate allocation by the arbitrator. In addition, if the Participant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the Participant’s fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (8) with the exception of subpart (6) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the Rules and Procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (6) is found to be invalid, unenforceable or illegal, then the entirety of this Arbitration Provision shall be null and void, and neither Sponsor nor Participant shall be entitled to arbitrate their dispute. Finally, this arbitration provision is reciprocally binding on all parties, such that both Participant and Sponsor are required to arbitrate their claims against one another. 1. ARBITRATION EXCEPTIONS: Notwithstanding the parties’ agreement to resolve all disputes through arbitration, either party may bring an action in court: (a) to enforce its intellectual property rights (“intellectual property rights” means patents, copyrights, moral rights, trademarks, and trade secrets, but not privacy or publicity rights), including without limitation to seek injunctive relief; (b) in cases that do not involve intellectual property rights, to seek temporary, preliminary or other expedited or provisional injunctive relief (but not money damages); or (c) collect fees due pursuant to the Agreement. If you reside (or your principal place of business is) within the United States and the parties have an intellectual property rights dispute, you and Unity agree to submit to the personal and exclusive jurisdiction of and venue in the state and federal courts located in San Francisco County, California. If you reside (or your principal place of business is) outside of the United States and the parties have an intellectual property rights dispute, you and Unity agree to submit to the personal and exclusive jurisdiction of and venue in the courts located in Copenhagen, Denmark. The parties agree to accept service of process by mail, and hereby waive any and all jurisdictional and venue defenses otherwise available.
